从思念食品近期的股价异动走势，及公司在盘中交易时间突然申请停牌来看，可能会私有化退市。

因为如果股价继续大幅上扬，会增加收购的成本压力。

今日公司发布公告，准备私有化退市，收购流通股股票，拟收购价格为停牌价格0.169+溢价10%

有思念股票的投资者可以收红包了喝咖啡去了。

我准备投反对票。这个收购价格太低了。

公告内容太长，大都是一些法律文字，没仔细读。

As at the Joint Announcement Date, the aggregate shareholding interest of Genki, Union and
Elite in the Company is 689,259,000 Shares, representing approximately 50.13% of the
issued share capital of the Company.

李伟及一致行动人持股50.13%

是不是其他流通股东们已经没有选择了，只能接受这个0.185-0.186的收购价了？

4.2 Conditions
The Delisting and the Exit Offer will be conditional on the Delisting Resolution:
(a) being approved by a majority of at least 75% of the total number of issued Shares
(excluding treasury shares) held by the Shareholders present and voting, on a poll,
either in person or by proxy at the SGM to be convened for the Shareholders to vote
on the Delisting Resolution (the Directors and controlling Shareholders need not
abstain from voting on the Delisting Resolution); and
(b) not being voted against by 10% or more of the total number of issued Shares
(excluding treasury shares) held by the Shareholders present and voting, on a poll,
either in person or by proxy at the SGM
(the "Approval of Delisting Resolution Condition").
The Exit Offer will not be conditional upon a minimum number of acceptances being received
by the Offeror.
